These Terms of Use ("Terms") govern access to and use of all platforms, services, and applications operated by ModaX, Inc. ("ModaX," "we," "our," or "us"), including but not limited to ModaX.ai (fashion-focused AI solutions), Sidekick.ai (gaming companion AI), and any future sub-brands or products developed under the ModaX umbrella. By accessing or using any ModaX service, users agree to these Terms.
Unless otherwise explicitly stated in a written agreement, all digital content generated through ModaX platforms—including but not limited to text, images, 3D assets, audio, video, voice interactions, highlights, avatars, designs, sketches, or AI-generated outputs—shall be deemed co-owned by the individual user who generated it and ModaX, Inc.
By using ModaX platforms, the user grants ModaX, Inc. a non-exclusive, perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, distribute, display, and modify such content for commercial and non-commercial purposes, including but not limited to product improvement, marketing, analytics, and feature development.
Users retain the right to use their co-owned content for personal portfolios, self-promotion, and independent commercial activities. Certain commercial exploitation of generated content may require attribution, coordination, or adherence to specific content usage guidelines published by ModaX.
ModaX may publicly showcase co-owned content under the user's profile, credited name, or anonymous identifier unless the user specifies otherwise in privacy settings or via a written request.
Users retain ownership of original materials they upload (e.g., reference images, voice samples, sketches, or gameplay footage). By uploading, users grant ModaX a royalty-free license to use and incorporate such input for generating platform outputs and improving services.
ModaX.ai (Fashion AI): All fashion-related digital content (AI-generated designs, images, try-on results, sketches, style prompts) shall be governed by the co-ownership framework defined in Section 2.
Sidekick.ai (Gaming AI): All gaming-related outputs (real-time coaching voice lines, highlight clips, voice-over commentary, 3D avatars) shall be governed by the co-ownership framework defined in Section 2.
Future Sub-Brands: Similar co-ownership and licensing terms shall apply unless superseded by brand-specific agreements.
Sidekick.ai and other ModaX services are designed as supportive tools. While they may provide real-time tips, feedback, or highlights, ModaX makes no guarantees regarding improvements in user gaming performance, outcomes, rankings, or success in competitive play.
Sidekick.ai voice guidance and overlays are intended for informational purposes only. Users remain solely responsible for their in-game actions, strategies, and decision-making.
Sidekick.ai is designed with content moderation and stream-safe defaults. However, users remain responsible for ensuring compliance with platform rules (e.g., Twitch, YouTube, Discord) and community standards. ModaX disclaims liability for any penalties, strikes, or suspensions resulting from user streaming activity.
ModaX provides moderation tools and safety layers but does not pre-screen all user-generated inputs or content. Users may be exposed to third-party content they find offensive or inappropriate. Users agree to use moderation features responsibly and to report misuse.
To the maximum extent permitted by law, ModaX, Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of its platforms, including but not limited to loss of gameplay progress, in-game penalties, account suspensions, or community disputes.
ModaX, Inc. reserves the right to enforce these Terms against misuse, misrepresentation, or unauthorized resale of platform-generated content. Co-ownership does not permit redistribution or resale of generated content by third parties without ModaX's consent.
